Terms of Use
These Terms of Use (“Terms”) govern your access to and use of the Mark-Down website and file-to-Markdown conversion tool (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of these Terms
By using the Service you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy, which is incorporated here by reference. These Terms form a binding agreement between you and the operator of Mark-Down (“we,” “us,” or “our”).
2. The Service
Mark-Down is a free utility that converts files you provide (such as PDF, Word, PowerPoint, Excel, HTML, images, and similar formats) into Markdown text. The Service is provided for convenience only, on an “as is” and “as available” basis. We may modify, suspend, or discontinue any part of the Service at any time, without notice or liability.
3. Eligibility
You must be at least the age of majority in your jurisdiction, or use the Service under the supervision of a parent or legal guardian who agrees to these Terms. By using the Service you represent that you meet this requirement.
4. Your files and content
You retain all rights to the files you upload and to the Markdown output the Service generates from them (“Your Content”). You are solely responsible for Your Content, including its legality and for having all necessary rights to upload and process it.
You grant us only the limited, temporary permission needed to process Your Content to perform the conversion you request. We do not claim ownership of Your Content and do not use it to train models. See the Privacy Policy for how files are handled and deleted.
5. Acceptable use
You agree not to use the Service to:
- upload or process any content you do not have the legal right to use, or that infringes any intellectual-property, privacy, or other right;
- upload unlawful, harmful, malicious, or infringing content, including malware or content that violates the rights of others;
- attempt to gain unauthorized access to the Service, other users’ data, or the systems and networks behind it;
- interfere with, overload, disrupt, or abuse the Service, including through automated or high-volume requests; or
- use the Service in violation of any applicable law or regulation.
We may block, rate-limit, or refuse any use that we believe violates these Terms.
6. Intellectual property
The Service, including its design, code, look and feel, and trademarks, is owned by us or our licensors and is protected by applicable laws. Mark-Down is built on top of open-source software (including Microsoft’s markitdown), which remains subject to its own licenses. Nothing in these Terms grants you any right in our or our licensors’ intellectual property except the limited right to use the Service as permitted here.
7. Third-party services
Certain optional features (such as AI-assisted image or document understanding and text compression) may send the relevant content to third-party providers (for example, an AI/LLM provider) solely to perform the requested conversion. Your use of those features is also subject to the applicable third-party terms and privacy policies. We are not responsible for third-party services, and we disclaim all liability arising from them.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONVERSION WILL BE ACCURATE, COMPLETE, OR FIT FOR YOUR PURPOSE. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ANY OUTPUT BEFORE RELYING ON IT.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE (OR OUR OWNERS, OPERATORS, CONTRIBUTORS, OR SUPPLIERS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR, IF GREATER, THE AMOUNT YOU PAID US TO USE THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM (WHICH, FOR A FREE SERVICE, IS ZERO). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
10. Indemnification
You agree to indemnify, defend, and hold harmless us and our owners, operators, and contributors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.
11. Changes to these Terms
We may update these Terms from time to time. Changes take effect when posted on this page, with an updated “Last updated” date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
12. Termination
We may suspend or terminate your access to the Service at any time, for any reason, without notice. The sections that by their nature should survive termination (including Sections 4 and 8–13) will survive.
13. Governing law and severability
These Terms are governed by the laws applicable at the operator’s principal place of business, without regard to conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts located there for any dispute not subject to arbitration or small-claims resolution. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
